Agility Robotics is progressing toward a Nasdaq listing as shareholders of Churchill Capital Corp XI are set to vote on the proposed merger on November 2. The SEC approved the companies' Form S-4 registration statement on October 13, indicating that while the merger is not yet finalized, it marks a significant step forward for Agility.
This merger is crucial for Agility, as it is expected to generate over $620 million in gross proceeds, which includes approximately $424 million from Churchill XI’s trust and around $200 million from a Foxconn-led private investment in public equity. The funds are intended to support orders, deployments, and the production of Agility's Digit 5 robot, which is central to the company's expansion strategy.
Looking ahead, Agility plans to roll out early-access units of Digit 5 in the first half of 2027, with general availability anticipated in late 2027 to early 2028. The company also aims to utilize debt financing to support its Robot-as-a-Service model, further enhancing its operational capabilities. No further timeline was disclosed at the time of publication.
